Terms of Service (DRAFT for legal review)
These terms are between [COMPANY LEGAL NAME], Calgary, Alberta ("we"), and the business that signs up ("Customer").
- The service. Othermile estimates border charges, compares fulfillment routes, applies limits the Customer sets, and routes exceptions to the Customer for approval. Othermile does not print, ship, broker or declare goods.
- Estimates, not customs advice. Border estimates are based on published government rules as interpreted in our current rulebook. They can be incomplete or change without notice. They are not customs, tax or legal advice. The Customer remains responsible for the accuracy of every declaration, classification, valuation and origin claim, including CUSMA certifications, and should consult a licensed customs broker when unsure.
- Tariff exposure scanner. Yearly exposure figures, what ifs and alerts are estimates based on the product data the Customer provides and the rulebook in force. The CUSMA self check is a first look, not a certification of origin and not a ruling. The Customer, or its licensed customs broker, remains responsible for classification, valuation, origin and every certification it signs.
- Broker introductions. When the Customer asks for help, we forward its request to an independent licensed customs broker. The broker's services are agreed and paid between the Customer and the broker. We may receive a referral fee from a broker, and we will say so on the broker directory when we do. We do not file customs entries.
- Customer responsibilities. The Customer sets its limits, keeps catalogue information (classification, origin, qualification for CUSMA) accurate, keeps API keys and connection tokens secret, and decides what to do with held orders.
- Connected services. When the Customer connects a printer, store or carrier, Othermile acts through that service's API on the Customer's instructions. Those services' own terms apply to them.
- Availability. Connected orders wait on hold until released, so an outage delays orders rather than shipping them unchecked. The Customer can release orders directly in the connected service at any time.
- Liability. [LIMITATION OF LIABILITY: cap at fees paid in the prior 12 months; exclude indirect losses, duties, taxes, penalties and carrier charges; lawyer to finalize.]
- Fees. Plans and overage as published, charged monthly through Stripe. Taxes extra. The free plan stops at its limit.
- Data. The Customer owns its data. We process it under the Data Processing Addendum and the Privacy Policy. The Customer can export its records at any time.
- Agencies. An agency may manage client stores and present Othermile under its own brand. The agency is responsible for having authority to act for each client.
- Termination. Either party may cancel at the end of a billing period. Data can be exported for 30 days after termination.
- Changes. We give 30 days' notice of material changes.
- Law. Laws of Alberta and Canada; courts of Calgary, Alberta.
